COURSERA FOR INDUSTRY PARTNERS TERMS AND CONDITIONS

These Coursera for Industry Partners Terms and Conditions (“Partner Terms and Conditions”) are entered into as an addendum to the Agreement (as defined below) between Coursera, Inc., a Delaware corporation (“Coursera”), and the industry partner agreeing to these Partner Terms and Conditions (“Partner”). Each of Partner and Coursera may be referred herein to as a “Party,” and collectively as the “Parties.” As the individual accepting these Partner Terms and Conditions on behalf of Partner, you represent and warrant that (a) you are an employee of Partner, (b) you have full legal authority to bind Partner to these Partner Terms and Conditions, (c) you have read and understand these Partner Terms and Conditions, and (d) you agree, on behalf of Partner, to these Partner Terms and Conditions. If you do not have the legal authority to bind Partner to these Partner Terms and Conditions, please do not click the applicable acceptance button. These Partner Terms and Conditions shall be effective as of March 15, 2022, or the date on which you click the applicable acceptance button on behalf of Partner, whichever occurs later (“Partner Terms and Conditions Effective Date”).

RECITALS WHEREAS, the Parties wish to enable employees of the Partner (“Partner Learners”) to access Partner Course Content and to earn Verified Certificates through the Coursera Platform free of charge; NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, Coursera and Partner hereby enter into these Partner Terms and Conditions effective as of the Effective Date:

TERMS AND CONDITIONS

  1. Definitions.

1.1. “Agreement” means the Industry Partnership Agreement, Industry Content Acquisition Agreement, or similarly named agreement, between Coursera and Partner governing the hosting and support of Partner Course Content on the Coursera Properties.

1.2. “Partner Course Content” means Course Content offered on the Coursera Platform by Partner.

  1. Coursera for Industry Partners Program. During the Term, Coursera will:

2.1 Create and maintain a customized, accessible landing page on the Coursera Platform, featuring the Partner logo and Partner Course Content;

2.2 Provided that Partner systems are compatible with Coursera systems, implement and maintain single sign-on features to allow seamless access;

2.3 Allow Partner Learners to earn Verified Certificates for completion of Partner courses and specializations free of charge;

2.4 Enable features and functionality for the authoring of content by the Partner for access by Partner Learners on the Coursera Platform; and

2.5 Provide account and technical support.

  1. Learner Experience Data. Partner will permit Coursera to survey Partner Learners regarding various aspects of their Coursera for Industry Partners Program user experience in accordance with applicable laws and Partner policies. As permitted by applicable law and Partner policies, to the extent that Partner collects data on Partner Learners outside of the Coursera Platform (e.g., surveys or other data-gathering activities) related to their Coursera for Industry Partners Program experience, Partner shall share such data with Coursera.

  2. Scope. Partner will limit participation in the Coursera for Industry Partners Program to Partner Learners. For clarity, nothing herein shall permit or authorize the Partner to offer Course Content to any third parties other than Partner Eligible Learners, or otherwise monetize such Course Content to any third party, including Partner Eligible Learners absent the Parties’ agreement in writing on the terms of such offerings, including revenue sharing terms.

  3. Term, Termination, and Wind Down.

5.1 Term and Termination. The terms of these Partner Terms and Conditions shall commence on the Partner Terms and Conditions Effective Date. If either Party terminates the Agreement in accordance with the terms therein, these Partner Terms and Conditions shall be terminated simultaneously. Coursera may, in its sole discretion, discontinue the Coursera for Industry Partners Program at any time upon thirty (30) days notice to Partner.

5.2 Wind Down. Upon termination of these Partner Terms and Conditions, Partner agrees that Coursera may permit Partner Learners who are currently enrolled in Partner Course Content to access and complete such Partner Course Content during the applicable post-termination wind down period set forth in Partner’s Agreement. If such a period has not been specified in the Agreement, Partner agrees that Coursera will have the right to continue to provide the relevant Partner Course Content for a reasonable period, not to exceed twelve (12) months (the “Wind Down Period”) from Coursera’s receipt of the Notice (the “Notice Date”), to Partner Learners who are enrolled in the Partner Course Content as of the Notice Date. Similarly, if Partner provides Coursera with notice of its intent to remove Partner Course Content from the Coursera Platform during the Term in accordance with the terms of Partner’s Agreement, Coursera may permit Partner Learners who are currently enrolled in such Partner Course Content as of date of the notice of removal to access and complete such Partner Course Content during the applicable wind down period set forth in Partner’s Agreement or as provided herein.

  1. Miscellaneous. These Partner Terms and Conditions shall be considered a written addendum to Partner’s Agreement and shall be governed by Partner’s Agreement. Capitalized terms not defined herein shall have the meanings ascribed to them in Partner’s Agreement. Coursera reserves the right to update, change, or replace any part of these Partner Terms and Conditions by posting updates and/or changes to these Partner Terms and Conditions. Partner’s continued participation in the Coursera for Industry Partners Program following the posting of any such updates and/or changes constitutes Partner’s acceptance of such updates and/or changes.
